TERMS OF SERVICE

Please read these Terms of Service carefully before using the Samanlik Agricultural Listing Platform ("Application"). By registering for or continuing to use the Application, you agree to be bound by these terms.

1. Parties and Acceptance

This Agreement is entered into electronically between TAUST Teknoloji Yazilim ve Danismanlik Hizmetleri (hereinafter referred to as the "Company") and the natural or legal person who registers as a member of the Samanlik Agricultural Listing Platform mobile application (hereinafter referred to as the "User"), for the purpose of defining the terms of use of the Application.

By downloading the application and creating an account, the User acknowledges that they have read, understood, and accepted all provisions of this Agreement.

2. Description of Service

Samanlik is a marketplace platform where users can post listings and establish business connections for agricultural production equipment (bales, silage, combine harvesters, etc.) and transportation services.

The Company does not guarantee that the platform will operate continuously and without interruption. The service may be temporarily suspended for maintenance, updates, or technical reasons.

3. Membership and Age Restriction

• Users must be at least 18 years old to register for the Application.
• The User warrants that all information provided during registration and in their profile is accurate, current, and complete.
• Each user may create only one account. If multiple accounts are detected, all accounts may be terminated.
• The User is solely responsible for account security (password, session information) and may not share their account with third parties.

4. Listing Rules and Content Policy

Content Responsibility: The quality, price, stock status of the product in a listing published by the User, and whether the images accurately reflect reality, are entirely the responsibility of the User. The Company is not obligated to pre-screen listing content.

Prohibited Content: The following content is strictly prohibited:

• Listings for products or services that violate the laws of the Republic of Turkey,
• Listings containing misleading, fraudulent, or inaccurate information,
• Listings for products/services outside of agricultural equipment and transportation,
• Expressions containing insults, threats, discrimination, or harassment,
• Content that infringes on the intellectual property rights of third parties,
• Spam, advertisements, or posts outside the platform's intended purpose.

Commercial Relationships: Samanlik is not a party to commercial agreements between users (rental, sale, transportation processes). The Company cannot be held responsible for payment disputes, non-delivery of goods, or defective services that may arise between users.

5. Paid Services and Payments

• Paid services such as listing promotion and membership packages are charged through the Iyzico payment infrastructure.
• All prices are in Turkish Lira (TRY) and include applicable taxes.
• Once a payment transaction is completed, the digital content/service is deemed to have been delivered immediately.

Refund Policy:

• For services of a digital content nature (listing promotion, etc.), there is no right of withdrawal after delivery, in accordance with Article 53/d of Turkish Consumer Protection Law No. 6502.
• In the event that the service cannot be provided at all due to a technical issue, the amount paid will be refunded within 10 business days.
• For purchases made through the Apple App Store, Apple's refund policies apply. You can request a refund through the App Store at: reportaproblem.apple.com
• For purchases made through Google Play, Google's refund policies apply.

6. Account Deletion

Account deletion is irreversible. Upon deletion request, all personal data, listings, and profile information will be permanently removed within 30 days. For detailed information, please refer to our Privacy Policy.

7. Intellectual Property Rights

All intellectual and industrial property rights over the following elements of the Samanlik Agricultural Listing Platform belong exclusively to TAUST Teknoloji:

• Software, source code, and algorithms,
• Trademarks, logos, and visual designs,
• Data structures and business model,
• Interface design and user experience elements.

The User may not analyze the application through reverse engineering, decompilation, or source code extraction methods. This Agreement does not transfer any intellectual property rights to the User.

The User retains their rights over the listing content they upload (images, descriptions); however, they are deemed to have granted the Company a perpetual, non-exclusive, royalty-free license to publish this content on the platform.

8. Account Suspension and Termination

The Company reserves the right to suspend or permanently delete user accounts without prior notice in the following cases:

• Behavior that threatens the security of the platform,
• Publishing misleading, fraudulent, or illegal listings,
• Harassment, threats, or fraud directed at other users,
• Violation of the provisions of this Agreement,
• Creation of multiple accounts.

Users whose accounts have been suspended may submit their objections in writing to dev@taustteknoloji.net. Objections will be evaluated within 15 business days.

9. Limitation of Liability

• The Company is solely responsible for providing the technical infrastructure of the platform. It cannot be held liable for commercial transactions between users, listing content, or user behavior.
• The Company does not guarantee that the application will be uninterrupted, error-free, or free from security vulnerabilities.
• The Company's total liability shall under no circumstances exceed the total amount paid by the relevant user to the platform in the preceding 12 months.
• The Company cannot be held responsible for service disruptions caused by force majeure events (natural disasters, war, pandemics, internet infrastructure issues, regulatory changes, etc.).

10. Privacy

All details regarding the collection, processing, and protection of your personal data are set forth in the Privacy Policy. The Privacy Policy constitutes an integral part of this Agreement.

11. Dispute Resolution

In the event of disputes arising from this Agreement:

• First, the parties shall attempt to resolve the matter in good faith through direct communication. You can submit your complaints to dev@taustteknoloji.net.
• If no settlement is reached, the laws of the Republic of Turkey shall apply, and the Courts and Enforcement Offices of Izmir shall have jurisdiction.
• Your right to apply to Consumer Arbitration Committees and Consumer Courts for disputes within the scope of consumer rights is reserved.

12. Changes to Terms

The Company reserves the right to modify this Agreement, provided that prior notice is given.

• Significant changes will be announced via in-app notifications before taking effect.
• Users who continue to use the application after changes are deemed to have accepted the updated terms.
• The current version will always be accessible at samanlikapp.com/terms_of_service_en.html.

13. Effective Date

This Agreement takes effect from the moment the User registers for the Application and remains valid until the account is deleted. Confidentiality obligations and intellectual property rights shall survive the termination of this Agreement.
